Cuestionando las bondades de la «blockchain» en las juntas generales

      ¿Será el blockchain una mejora cualitativa de la junta general en las sociedades de capital y una mayor implicación del socio? Nuestra respuesta es NO. Este trabajo se centra en la oportunidad de usar la tecnología blockchain, su compatibilidad con nuestro sistema jurídico y si realmente el desapego del socio por su sociedad tiene por principal causa la intermediación de su posesión y si la reducción de esta y de sus costes es la solución al problema. El blockchain se presenta como una solución para la falta de incentivos por parte de los socios y de otra para participar, a las desviaciones y problemas técnicos derivados de la relación de agencia entre socios y las plataformas de tenencia de sus participaciones directa o indirecta. En definitiva, es el problema de agencia entre principal y agente, su control y costes de la relación. La conclusión es que para la mayoría de las sociedades esta tecnología no aportará nada o, al menos, el coste de implantarla no estará justificado por las utilidades que genera. En este análisis además se hace un especial tratamiento a la normativa proyectada en España sobre implicación a largo plazo del socio para trasponer la Directiva 2017/828. Para alcanzar tal conclusión se revisa el estado de la ciencia técnica y jurídica y se la confronta con los problemas de gobierno corporativo habituales en los tratamientos de la Junta General. En este esfuerzo se fijan los parámetros legales del blockchain, características, principios y arquitecturas. Tras señalar las principales ventajas que se supone aportará esta tecnología se analiza pormenorizadamente sus costes, su transparencia, su seguridad, y también problemas técnicos como, por ejemplo, la tokenización de la condición de socio. Igualmente se confronta la tecnología blockchain con el nuevo marco previsto por la Directiva 2017/828. Además de las cuestiones puramente técnicas, se estudia las prácticas del mercado en el ámbito de las cuentas ómnibus y los sistemas de custodios y subcustodios en la tenencia de valores.

      Will blockchain bring about a quality change for companies’ annual general meetings and improve shareholders’ engagement? Our answer is a simple NO. This article focuses on the appropriateness of using blockchain technology, its compatibility with our legal system, and if the detachment between shareholders and their company is actually caused by the intermediation system and if reducing the intermediation and its costs will solve the problem. Blockchain is being presented as a solution to the lack of incentives for shareholder engagement, to the issues and technical problems originating in the agency relationship between shareholders and platforms for direct or indirect holding of shares. Ultimately, it is a problem of the agency relationship between the principal and the agent, the issue of control and the relationship costs. The conclusion is that for most companies the technology will not provide any improvements, or, at least, the cost of implementing the technology is not justified by the improvements it generates. In our analysis we also provide some specific insights regarding the transposition of the Directive 2017/828 in Spain. To reach our conclusion, we review the technological and legal discussion about blockchains, and we address the most common problems affecting corporate governance and companies’ general meetings. We endeavour to set out legal parameters, characteristics, principles, and architectures of blockchains. After indicating the main advantages that the technology could bring, we turn to analyse in detail its costs, transparency, security, as well as technical issues that arise, such as tokenising company membership. Also, we examine blockchain technology in the context of the new legal framework introduced by the Directive 2017/828. Apart from the issues of purely technological nature, we examine the market practices of the omnibus accounts and the systems of holding securities through custodians and sub-custodians.
