    Horizontale, vertikale und externe Delegation sind in Großunternehmen regelmäßig unvermeidbar. Die mit der Übertragung von Zuständigkeiten auf Dritte verbundenen Vorteile lassen sich nur entfalten, wenn das Vertrauen auf die ordnungsgemäße Aufgabenerledigung durch diese Dritten in gewissen Grenzen geschützt wird. Der in vielen Bereichen der Rechtsordnung anerkannte Vertrauensgrundsatz findet auch im Bereich der Unternehmensorganisation Anwendung. Vor diesem Hintergrund beleuchtet der folgende Beitrag für das Gebiet des Aktienrechts die rechtlichen Grundlagen, Voraussetzungen und Grenzen der Anwendbarkeit des Vertrauensgrundsatzes bei der Unternehmensorganisation.

    Horizontal, vertical and external delegations are generally inevitable in large companies. The benefits of a transfer of responsibilities upon third parties can only be realized if the reliance on the proper fulfillment of tasks by such third parties is protected to a certain extent. The principle of reliance which is recognized in various fields of existing law also applies to matters of company organization. Against this background, the following article displays for the field of stock corporation law the legal basics, requirements and limitations of the applicability of the principle of reliance in matters of corporate organization.
